JOB PURPOSE: The Assets Legal counsel will be tasked to provide daily advisory and legal matter handling in respect of projects which have passed closing and are either operational or under construction. The Legal Counsel will draft, review and negotiate post‑closing contracts, advise on legal, regulatory and compliance issues, advise on contract and claims matters, inclusive of managing pre‑dispute matters. 2. KEY ACCOUNTABILITIES: Description The Legal Counsel will draft, review and negotiate post‑closing contracts, advise on legal, regulatory and compliance issues, advise on contract and claims matters, inclusive of managing pre‑dispute matters.  Transaction Support Lead legal due diligence for acquisition, disposal, and joint‑ venture projects. Draft, review, and negotiate key commercial contracts, including share purchase agreements (SPA), asset purchase agreements (APA), engineering, procurement and construction (EPC) contracts, operation and maintenance (O&M) agreements, power purchase agreements (PPA), and land lease agreements. Structure investment vehicles and co‑ investment arrangements to optimize tax and regulatory outcomes. Project Financing Advise on project finance (non‑ recourse or limited‑ recourse) and corporate finance transactions. Coordinate with external counsel and financial advisers on financing documentation, security packages, and inter‑ creditor arrangements. Regulatory & Compliance Monitor and interpret evolving energy policies, grid connection rules, environmental permits, and local content requirements across our operating markets.  Ensure all asset‑ related activities comply with applicable laws, anti‑ corruption regulations, and internal policies. Manage license renewals, land rights, and other governmental approvals. Risk Management & Dispute Resolution Identify legal and commercial risks in asset operations and propose mitigation strategies. Handle or supervise litigation, arbitration, and administrative disputes arising from asset projects. Internal Advisory & Team Coordination Provide day‑ to‑ day legal advice to the asset management and project development teams. Train internal stakeholders on key legal risks and contractual obligations. Oversee external counsel engagements and manage legal budgets. 3. QUALIFICATIONS, EXPERIENCE, & SKILLS: Law degree (LL.B. or J.D.) from a recognized university; admission to practice law in [relevant jurisdiction(s)]. Experience: Minimum 8‑ 10 years of post‑ qualification experience, with at least 5 years focused on renewable energy, power trading, infrastructure, or natural resources sectors. Prior in‑ house experience at a developer, IPP (independent power producer), or investment firm is highly preferred. Technical Skills: Proven track record in cross‑ border M&A, project finance, and large‑ scale contract negotiation. Deep understanding of power market regulations, carbon credits, and environmental compliance.
